Schedule 13G
Simplified variant of the 13D for passive investors holding more than 5% of a company.
Schedule 13G is the simplified, shorter variant of the 13D filing. It is open to passive investors that hold more than 5% of a company but explicitly do not plan to influence it. Classic 13G filers include index providers (Vanguard, BlackRock, State Street), insurance companies and banks.
Deadlines are more generous: initial filings are due within 45 days of year end, with updates only on additional threshold crossings or a strategy change. When a 13G filer suddenly switches to a 13D, it is a clear activism signal.
